Fred Meyer operates in Las Vegas as Smith's Food & Drug Centers and PriceRite.
Kroger said today in announcing the government agency's decision that the FTC required it to sell eight stores in Arizona, Wyoming and Utah. But it will still have some 3,400 stores from coast to coast.
Shareholders of both companies approved the merger in April.
Kroger, already the nation's largest grocery, generated $28.2 billion in sales last year while Fred Meyer had $14.9 billion.
