LV firm sues over failed merger

A Las Vegas company has sued two Canadian corporations, accusing them of backing out of a buyout.
Kadlic Gaming filed suit against Northstar Gaming and TSG Investment, both incorporated in the province of Manitoba. Neither could be located for comment.
Kadlic produces proprietary games of chance, including video poker, canasta and gin rummy.
In its suit, filed in Clark County District Court, Kadlic said it signed a stock and asset purchase agreement with Northstar in June 1998. Northstar had been assisting Kadlic in commercializing its games and raising investment capital since December 1997, Kadlic said. Kadlic said it was not paid in full for that purchase.
Kadlic is suing for breach of contract, misrepresentation, fraud, and failure to maintain Northstar as a viable corporation.
