Placer, North America's third-biggest gold producer, agreed to swap 2.45 shares for each share of Getchell, valuing Getchell at $30.17 a share at Monday's closing price.
Getchell owns two mines and controls a 50-square-mile area in Humboldt County in Northern Nevada around the Turquoise Ridge and Getchell gold mines.
Placer Dome operates the Cortez Gold Mines, on the border of Eureka and Lander counties, and the Bald Mountain Mine in White Pine County, according to the Nevada Division of Mineral's 1997 report.
